1. Definitions
In these Terms and Conditions (updated 19/03/2013):
Showroomprive.co.uk is part of the Showroomprive.com company, entity of the Showroomprive
SRP GROUPE and with a capital of 1 528 000 euros, registered in France, under Siret number 497 583 336.
It's head office is located at ZA La Montjoie 1, rue des Blés, 93210, La Plaine Saint Denis.
Our VAT number is FR 45497593336.
"Member", "you", "your" refers
to any person who has registered and/or placed an order on the www.showroomprive.co.uk website.
In particular, "Member" refers to any person who has completed our online registration
form in order to gain access to all areas of our site and place an order for Products.
"Our site" means the website located at www.showroomprive.co.uk.
"Products" means the goods which are supplied by us and which are
available for sale on our site.
2. The company
Showroomprive.co.uk is a specialist online retailer that offers end of line products.
Amongst all the categories of Products and brands available on our site throughout
the year, we sell: ready-to-wear clothing for men, women and children, fashion brands,
accessories, beauty, cosmetic and skincare products, footwear, homeware and home
decoration products at discounted prices to registered Members only.
3. Agreement
Products offered on our site are specifically sold to private individuals.
We will use our best efforts to ensure that the photographs of Products made available
for sale on our site are as accurate as possible. Each Product will have a detailed
description setting out its main features. In the event of a clear case of error
between the characteristics of a Product and its description or representation on
our site, you may return the Product and request a refund, in accordance with the
provisions of Article 10 below.
By ordering a Product on our site, you expressly agree to these Terms and Conditions
(this acceptance does not require a handwritten signature). You thereby acknowledge
that you have read and accepted the relevant rights and obligations contained in
these Terms and Conditions. Any order placed by you on our site is governed by these
Terms and Conditions.
Showroomprive.co.uk reserves the right to modify these Terms and Conditions at any
time. Nevertheless, the Terms and Conditions in force at the time that your order
is placed will govern the contract between you and us. We will keep a record of
Terms and Conditions and dates of all updates made and we encourage you to print
a copy of the Terms and Conditions which are available on our site at the time when
you place your order with us.
4. Registration
Before being permitted to navigate through our site, you must complete the online
registration form in order to become a registered Member of our site. Becoming a
Member requires you to provide us with personal data such as: title, first name,
surname, email address and password. Becoming a Member also means that you accept
to receive frequent email communications from us: daily and/or weekly invitations
to our opening sales, exclusive offers, birthday wishes... Finally, by registering
to use our site, you accept these Terms and Conditions.
5. Costs
All our Products are priced in pounds sterling (GBP) and include all taxes, except
processing and dispatch costs, which will be added to the invoice during order confirmation.
Showroomprive.co.uk reserves the right to change its prices at any time, however,
Products for which orders have already been placed will be charged at the price
originally quoted.
The original recommended retail price (RRP) shown in the description of a Product
is the price provided to us by our supplier as the full selling price of the item
when it was originally in the supplier’s distribution network. The price is provided
for information and comparison purposes only. All RRPs are converted from euros
to pounds sterling at the exchange rate applicable at the time the sale is launched
on Showroomprive.co.uk.
Special offers
Showroomprive.co.uk reserves the right to make tariff offers
on the shipping costs associated to the orders. In the specific framework of an
exemption of the shipping costs, the Member fully benefits from this discount from
the second order of the day listed on a same customer account on Showroomprive.co.uk.
The special offer is viable on all orders with shipping to the United-Kingdom &
Ireland. In the case of a discount on the shipping costs, Showroomprive.co.uk will
make the free service clear at the time of the order. Any abusive use or non-respect
of the obligations subscribed via these General Conditions of Sale will generate
the suspension or cancellation of the account of the Member depending on the seriousness
of the offence.
6. Placing an order
All orders are placed on our site - www.showroomprive.co.uk.
By placing your order, you confirm that you are aware of and agree to these Terms
and Conditions.
After confirming the content of an order/basket, you must make a final confirmation
by choosing a payment method.
Showroomprive.co.uk may reject any order and all orders are subject to acceptance
by us.
The contract between you and Showroomprive.co.uk will only take place when we accept
your order by sending you a confirmation email. Contractual information is in English
and is to be included in the confirmation email.
Products remain the property of Showroomprive.co.uk until we receive full payment
of all sums due in respect of the Products, including delivery charges.
We accept payment vouchers at the time of payment subject to these Terms and Conditions
including the provisions of Article 11 below.
In the event that you need to cancel an order, you can contact our Customer Service
team by email. Please be aware that orders can only be cancelled if they have not
yet been processed by our office. After this time, once you have received your parcel,
you will have fourteen (14) days to return the item and receive a refund for the items
sent back. Once an order is cancelled, it cannot be reinstated.
Restricted items: it is forbidden by law to sell or supply intoxicating substances
or dangerous objects, such as alcohol, any type of knife, knife blades or razor
blades, to individuals under the age of 18 in the UK, the Republic of Ireland or
the Channel Islands. The purchase of age restricted items will require proof of
age. By placing your order you confirm that you are of legal age to purchase the
given product. In order to verify your age, you may be contacted via telephone.
In the event that documentation is required to support a purchase, we will require
you to send us a valid identification document, such as a driving license, passport
or birth certificate. Should we deem that the identification is not valid or if
identification cannot be provided for the purchase, we can decide to cancel the
order. The courier delivering such orders may request identification at the point
of delivery to verify the buyer’s age. In the case of insufficient or unsatisfying
identification the courier has the right to retain the delivery.
7. Availability
All sales are limited in terms of time and stock and all orders are subject to availability.
If a Product is no longer visible on our site, it means it is no longer available.
Due to the nature of our business, it can occur that Products are not physically
available in-house. Indeed, in some cases, a business transaction is made with our
supplier who makes the discounted Products available to Showroomprive.co.uk for
the duration of the sale only (usually 2 to 7 days). Products are ordered from our
supplier only once the sale is closed and therefore there can be delays before we
receive the Products from our suppliers.
Consequently, even though we constantly do our best to dispatch orders within the
indicated dates, deliveries may sometimes take longer. Information concerning stock
comes directly from our suppliers and thus in exceptional cases errors and changes
may occur. If the Product ordered is not available, Showroomprive.co.uk will notify
the customer by email or by phone of a partial delivery or cancellation of the
order. The customer will then be refunded part or all of the order within 30 working
days.
8. Payment
Methods of payment: Payments can only be made online, and exclusively
by credit or debit card. The following payment cards are accepted: Visa/Visa Electron
and MasterCard. It is also possible to use a Paypal account on the Showroomprive.co.uk
website while confirming your purchases.
Once you have placed your order we will carry out a standard pre-authorisation check
on your payment card, your order will only be deemed valid once we have received
confirmation from the payment centres that there are sufficient funds to fulfill
the transaction.
At no time do we have access to these payment details or will they be transferred
or stored through Showroomprive.co.uk’s servers. You should therefore save and print
the payment document that is processed following your order if you wish to have
a copy of your order transaction details.
Your account will be debited within a maximum of 4 days following the date of your
order being accepted.
You will be asked to repeat this payment process, providing the same information
each time you place a new order on our site.
Secure payment: We have undertaken various initiatives to ensure
that shopping with us is as safe as possible. We have installed an extremely efficient
and reliable site security system. All your payments will be processed through a
secure payment server and will be kept strictly confidential. All payments are secured
by SSL (Secure Socket Layer) encryption.
We have also reinforced all the various encryption processes in order to ensure
the optimal protection of all payment information. Showroomprive.co.uk does not
have access to any confidential information regarding the means of payment. Only
Atos and Société Générale, our banking partner, has
access to confidential information (card number, expiration date) and it cannot
be accessed by any third party.
In accordance with our commitment to ensure a secure payment, Showroomprive.co.uk
checks the details of the information provided by you each time an order is placed.
This is part of our efforts to combat fraud and to ensure that your payment details
remain secure. Consequently, Showroomprive.co.uk operates a verification procedure
to prevent any fraudulent use of any of our Member’s bank details. As part of this
procedure, Showroomprive.co.uk reserves the right to request that you send a full
copy of your proof of identity (by fax or email) as well as a valid proof of address
which is less than 3 (three) months old. Your order will only be dispatched following
receipt and verification by us of this information. If requested to do so, you must
send any such documentation to us within six days of any request. Showroomprive.co.uk
reserves the right to cancel and refund any order if the requested documents are
not received or are non-compliant.
8.1 Paypal
PayPal allows any business or consumer with an email address to securely and conveniently
send and receive payments online.
PayPal is committed to handling your customer information with high standards of
information security.
PayPal will execute a Payment Order made by you via your Payment Account and credit
the payment service provider of Showroomprive.co.uk within 3 Business Days.
When you make a payment you authorise PayPal to obtain funds on your behalf from
your applicable Funding Source.
PayPal will fund your transaction to Showroomprive.co.uk as follows:

If you have a Balance in your Account, PayPal will always use your Balance to fund
your payment.

If you do not have a Balance, or your Balance is not sufficient to fund your entire
transaction, PayPal will fund your transaction, or the remainder of your transaction,

Recurring Payments

If you have a Balance at the time the merchant processes your payment, PayPal will
use your Balance instead of your Preferred Funding Source.

Merchant Processing Delay

If there is a Merchant Processing Delay and you have a Balance at the time the merchant
processes your payment and completes the transaction, PayPal will use your Balance
instead of your Preferred Funding Source.

9. Delivery
Showroomprive.co.uk agrees to deliver ordered Products anywhere in Great Britain,
Northern Ireland and the Republic of Ireland. Unfortunately at this time we cannot
deliver to The Channel Islands, Isle of Man, Scilly Isles, British Forces Post Offices
(BFPO) or Gibraltar. Please be aware that we also cannot deliver to the following
postcodes: KW15-17 / ZE1-99 / HS9-99 / PA41-49 / PA60 / PA61-75, 77, 78 / PA76 /
PH41(2), 42, 43, 44 / PH19-26, 30-41 / HS1-8 / IV41-51, 55, 56 / KA27, 28 / IV40
/ IV54. Showroomprive.co.uk may agree to deliver ordered Products to other countries
on a case by case basis, subject to you agreeing to pay all shipping and delivery
charges associated with such delivery.
Items purchased on Showroomprive.co.uk will be sent to the delivery address you
provided when placing the order on our site. You can choose to have your order delivered
to an alternative address e.g. your home, office or holiday address. It is your
responsibility to provide the full and correct delivery address information.
Logistical preparation and shipping costs are inclusive of all taxes. You will receive
an email notifying you of delivery details.
The delivery times provided correspond to the dispatch and handling times of an
order. Delivery times vary from one sale to another. They are indicated in the Product
description and are confirmed when the order is validated prior to you making any
payment for the Products. Delivery times are again confirmed in your order summary
email and online, in My Account/My Orders.
Showroomprive.co.uk reserves the right to split deliveries. There will be no additional
processing or dispatch costs if this occurs; the customer will only be invoiced
for one parcel.
Showroomprive.co.uk cannot be held liable for the consequences of any delay attributable
to the courier service.
Delivery process
A courier will deliver your parcel to the address you provided during order confirmation.
In order to ensure that parcels are delivered safely and our customers are satisfied,
you will be asked to sign for your parcel as proof of receipt.
If you are not present at the address provided at the time the delivery is made,
the courier will try to hand it over to a neighbour. If unsuccessful, a notice of
attempted delivery (Calling Card) will usually be posted through your letter box.
From that point on, it will then be up to you to contact the courier within the
next 5 working days in order to agree upon a new delivery date. A second and a third
attempt of delivery can be made if necessary. It is also possible to collect the
package from the courier’s nearest depot within 5 days of the final delivery notice
being left. Yodel’s depots are opened Monday to Friday from 8am to 6pm.
Once the time stated above has elapsed, the package will be sent back to Showroomprive.co.uk.
Our Customer Service team will then immediately contact you for a possible reshipment
and, if there is no response within a reasonable period of time, Showroomprive.co.uk
reserves the right to cancel the order and refund you.
When you are collecting your order, you will need to do the following:
- Check at the point of delivery that the Products comply with your order;
- Write down any anomalies on the delivery note, accompanied by your signature;
If the Products need to be returned to us, you must send a request for returns to
our office (using the Contact form) within fourteen (14) days of delivery. Thereafter,
we will not be able to accept any return claims.
If the Product is late or not available, the customer can contact our Customer Service
team on the website Showroomprive.co.uk, by sending an email using the Contact
form.
If an inquiry with Yodel is required (unusual handling time, parcel not delivered,
etc.), you have 6 months from the dispatch date to inform Showroomprive.co.uk of
this. After this time, no claims will be considered.
10. Returns and cancellations
By law, Distance Selling Regulations, Statutory Instrument 2000/2334, you have a
return policy in which you can cancel your contract with us and return the Products
to us within fourteen (14) days of the delivery of the Products to you.

The Return Policy does not apply if the Products delivered have been used for longer
than is considered appropriate (more than a few minutes). It is imperative that
returned Products be adequately protected, in their original packaging, in perfect
condition for resale (not broken, damaged or soiled by the customer) and accompanied
by any accessories it was originally sold with (this does not affect your statutory
rights).
The following products can only be returned if they have never been opened: audio
(CD’s), video (DVD’s) and software, cosmetics (make-up, skin care, perfume), body
slimming shapewear, earrings and piercings.
The following products cannot be returned in any case: food (ex. chocolate, caviar),
beverages (drinks), sextoys, products with a distance or time calculator (ex. stationary
bicycle), newspapers and magazines, personalized products and tailored clothing
(ex. suits and furniture), tickets for shows and events valid for a certain date/time.
In the case of returning these products for any other reason, please contact customer
service before returning products.
We cannot accept parcels that do not contain any information about the sender (first
name, last name, address and order number).
By returning the Products to us in accordance with the provisions of this Article
10, you will be entitled to a full refund of the amount paid by you for the Product.
The refund will be made to your bank within thirty (30) days of the Product being
returned to us. An email will be sent confirming the date and amount of the bank
transfer. All refunds will be made according to the method of payment used by you
for the purchase. Collect or cash on delivery is not possible.
Under banking regulations, no refund can be made to a bank card after its expiry
date. Should this arise, Showroomprive.co.uk reserves the right to request any information
that may be needed in order to carry out the relevant refund.
11. Using the service
Referrals and vouchers
Access to our site may be made through the referral/invite service strictly reserved
for you to invite friends and family only. Any customer who invites friends or family
to join our site may be entitled to vouchers, credited 21 days after the newly invited
member places an initial order with a value of at least £50, provided that
the order is not cancelled. Each voucher has a value of £12 and is valid for
one year.
Showroomprive.co.uk reserves the right to modify these conditions. Nevertheless,
the conditions in force at the time a member received the voucher will govern. We
will keep a record of the conditions and dates of all updates.
You may also occasionally receive promotional discount codes or vouchers from us,
via email or other promotional supports. Use of all discount codes and vouchers
are based on a minimum spend and always exclude delivery charges.
Discount codes and vouchers cannot be split into smaller values and can only be
used in on one single order transaction. Vouchers cannot be combined unless they
specifically state otherwise. Vouchers are considered a means of payment and cannot,
in any circumstances, be exchanged for cash.
You can access any vouchers that you may have earned through your account page on
the website.
Using the service
Should Showroomprive.co.uk notice any irregularities in the way in which a voucher
and/or the referral invite system is being used, it will take all necessary measures
to stop this abuse, including suspending the access to our site or excluding you
from our site.
In general, if you do not comply with your obligations under the Terms and Conditions,
your membership can be suspended and your account closed, and you will have to answer
to any damages Showroomprive.co.uk deems necessary.
12. Personal data protection
Under the Data Protection Act 1998 and the Privacy and Electronic Communications
(EC Directive) Regulations 2003, you may object to, access and correct any data
relating to you that you have provided to Showroomprive.co.uk by sending an email
or letter to the address given hereunder.
All emails sent by Showroomprive contain a link that allows you do unsubscribe
in just one click. You can change your preferences at any time in the
“Manage my subscriptions” section of your account.
Showroomprive.co.uk may communicate certain information identifying customers by
name to its commercial partners unless the customer specifically refuses his consent
in this regard. Likewise, email addresses can only be used by Showroomprive.co.uk
or communicated to such partners where the customer has given his express consent.
Otherwise the user will receive commercial offers from third parties.
The customer can object to the use of his data by communicating his decision by email,

13. Liability
Our maximum liability for losses you suffer is strictly limited to the return of
the purchase price of the Product you purchased.
This does not exclude or limit in any way our liability:
- (a) For death or personal injury caused
by our negligence;
- (b) Under section 2(3) of the Consumer
Protection Act 1987;
- (c) For fraud or fraudulent misrepresentation;
or
- (d) For any deliberate breaches of
these Terms by us that would entitle you to terminate the contract between us.
- (e) For any matter for which it would
be illegal for us to exclude, or attempt to exclude, our liability.
We are not responsible for indirect losses which happen as a side effect of the
main loss or damage.
14. Applicable law and competent forum
These Terms and Conditions are governed by French Law.
The court of Paris shall have jurisdiction for all disputes relating to the interpretation,
performance or validity of these Terms and Conditions.
